END USER LICENSE AGREEMENT echoTrace — A BanditTek Tool IMPORTANT — READ CAREFULLY. This End User License Agreement ("Agreement") is a legal agreement between you ("You," whether an individual or a single entity) and BanditTek ("BanditTek," "we," "us," or "our") governing the echoTrace software application and everything described in Section 1.2 (the "Software"). By downloading, installing, copying, accessing, or otherwise using the Software, You agree to be bound by this Agreement. If You are accepting on behalf of an entity, You represent that You have authority to bind it. If You do not agree, do not download, install, or use the Software. 1. DEFINITIONS AND LICENSE GRANT 1.1 Definitions. "Device" means a computer or system You own or control. "Documentation" means any user guides or release notes we provide with the Software. "Open-Source Components" has the meaning given in Section 5. "Output" means transcripts, speaker labels, timestamps, and other files the Software generates from media You supply. "Your Content" means the audio, video, and other media You input into, or process with, the Software, together with the resulting Output. "Update" means any patch, bug fix, enhancement, or new version of the Software we make available to You. 1.2 Software. "Software" means the echoTrace application in object-code form, including its executables, machine-learning models we supply, data files, the Documentation, and any Updates, but excluding the Open-Source Components, which are governed by Section 5. 1.3 License Grant. Subject to Your compliance with this Agreement, BanditTek grants You a non-exclusive, non-transferable, non-sublicensable, revocable license to install and use one copy of the Software per Device, on Devices You own or control, for Your internal business or personal purposes. You may make one copy solely for backup or archival purposes, provided it carries all proprietary notices. 1.4 Updates. Updates we provide are part of the Software and are governed by this Agreement unless we deliver separate terms with a particular Update. We have no obligation to provide any Update, support, or maintenance. 2. RESTRICTIONS You shall not, and shall not permit any third party to: (a) copy, distribute, sublicense, rent, lease, lend, sell, host as a service, or otherwise transfer the Software except as expressly permitted; (b) reverse engineer, decompile, or disassemble the Software, or attempt to derive its source code, except to the extent applicable law expressly permits despite this limitation, and only after written notice to us; (c) remove, alter, or obscure any proprietary, copyright, or trademark notice; (d) use the Software, or any Output, to build, train, or improve a product or machine-learning model that competes with the Software; or (e) use the Software in violation of any applicable law, including Section 6. 3. OWNERSHIP The Software is licensed, not sold. BanditTek and its licensors retain all right, title, and interest in and to the Software and all intellectual property rights in it. As between You and BanditTek, You retain all rights in Your Content; BanditTek claims no ownership of Your Content or Output. No rights are granted to You except those expressly stated here. 4. FEEDBACK If You send BanditTek suggestions, ideas, or other feedback about the Software, You grant BanditTek a perpetual, irrevocable, worldwide, royalty-free license to use that feedback for any purpose, without obligation or attribution to You. You are not required to provide feedback. 5. OPEN-SOURCE COMPONENTS The Software incorporates third-party open-source components (including, among others, Qt/PySide6, PyTorch, faster-whisper / CTranslate2, pyannote.audio, and FFmpeg), and may rely on separately licensed model weights (the "Open-Source Components"). Each is licensed under its own terms, the texts of which are included with the Software in the "licenses" folder and which govern Your use of those components. To the extent any Open-Source Component license conflicts with this Agreement as to that component, the component's license controls for that component. Nothing in this Agreement limits Your rights, or enlarges Your obligations, under those licenses. 6. LAWFUL USE; YOUR RESPONSIBILITIES The Software records, ingests, and analyzes audio and video, which may capture identifiable individuals. You are solely responsible for Your Content and Your use of the Software. You represent and warrant that, for all of Your Content, You hold or have obtained every right, consent, authorization, and notice required to record, possess, process, and analyze it, and that Your use of the Software complies with all applicable laws, including wiretapping, eavesdropping, recording-consent, surveillance, wage, evidentiary, privacy, and data-protection laws. You will not use the Software to process media You obtained or recorded unlawfully, or to violate the rights of any person. The security, storage, retention, and lawful handling of Your Content and Output are entirely Your responsibility. 7. PRIVACY AND LOCAL PROCESSING echoTrace performs all transcription and speaker analysis locally on Your Device. The Software does not transmit Your Content, Output, or usage data to BanditTek or any third party, and contains no telemetry, analytics, or "phone-home" functionality. Because processing is local, BanditTek does not receive, access, or retain Your Content or Output, and cannot recover it for You. 8. ACCURACY DISCLAIMER THE SOFTWARE PRODUCES MACHINE-GENERATED TRANSCRIPTS AND SPEAKER LABELS THAT MAY CONTAIN ERRORS, OMISSIONS, OR MISATTRIBUTIONS. Output is a working draft to be reviewed and corrected by a qualified human. The Software does not produce a certified, verbatim, sworn, or official transcript and is not a substitute for professional transcription, legal advice, or human judgment. You are solely responsible for reviewing, verifying, and validating any Output before relying on it, including in any legal, investigative, evidentiary, or official context. 9. NO WARRANTY TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. BANDITTEK DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED. Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusions may not apply to You to that extent. 10. LIMITATION OF LIABILITY TO THE MAXIMUM EXTENT PERMITTED BY LAW, BANDITTEK WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SOFTWARE OR THIS AGREEMENT, ON ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY. BANDITTEK'S TOTAL AGGREGATE LIABILITY WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE TWELVE MONTHS BEFORE THE CLAIM OR USD $50. Some jurisdictions do not allow the limitation of incidental or consequential damages, so the above may not apply to You to that extent. 11. INDEMNIFICATION You will defend, indemnify, and hold harmless BanditTek and its owners, officers, and agents from and against any third-party claim, and any related loss, liability, damage, cost, or expense (including reasonable attorneys' fees), arising out of or related to (a) Your Content, (b) Your use of the Software, or (c) Your breach of this Agreement or violation of any law or third-party right, including under Section 6. 12. EXPORT COMPLIANCE You will comply with all applicable U.S. and other export control and sanctions laws and will not export, re-export, or use the Software in violation of them, or for any prohibited end use. 13. TERM AND TERMINATION This Agreement is effective until terminated. It terminates automatically if You breach any term. Upon termination, You must cease all use and destroy all copies of the Software in Your possession or control. Sections 3, 4, 5, 6, 8, 9, 10, 11, and 14 survive termination. 14. GENERAL 14.1 Governing Law and Venue. This Agreement is governed by the laws of the State of Oregon, United States, without regard to conflict-of-laws principles. The exclusive venue for any dispute is the state or federal courts located in Jackson County, Oregon, and the parties consent to their jurisdiction. 14.2 Assignment. You may not assign or transfer this Agreement without BanditTek's prior written consent; any attempt to do so is void. BanditTek may assign it freely. It binds permitted successors and assigns. 14.3 Severability. If any provision is held unenforceable, it will be modified to the minimum extent necessary, or severed, and the rest remains in effect. 14.4 Waiver. No failure or delay in exercising any right waives it, and no waiver is effective unless in writing. 14.5 Entire Agreement. This Agreement, together with the Open-Source Component licenses for those components, is the entire agreement between You and BanditTek regarding the Software and supersedes all prior understandings. 15.
